Nightmare on the Transfer Ameica "Street"

We have started this ordeal by meeting more then 12 months ago with Transfer America representatives and signing agreement where is clearly stated that after we pay this certain amount Transfer America will transfer our time share out of our name in a period of 90 to 120 days, and will be responsible for all fees, maintenance and others without exception, occur during the period of transfer.
It had been over 12 months now and time share still is not transferred.
More so, just yesterday I got call from Transfer America, saying that they are ready to transfer our time share, but want us to pay maintenance fee for this year. After I indicated that their our contract with them and rules on their web. site state that they are responsible for those fees, I was told that I am right but they are not going to pay and will put it on hold if I do not pay.
This is absolutely outrages, when company like Transfer America can take the hard earned money from old retired people, not to stand to their written agreement/contract and continue to stay in business.
